Hatch Commercial Agreement Last updated: May 18, 2026
This Hatch Commercial Agreement ("Agreement") provides terms for Hatch's commercial products under which a customer ("Customer") subscribes to or uses advanced platform features, such as increased Model Context Protocol (MCP) server rate limits, API access, or enterprise discovery tools (the "Platform"). This Agreement takes effect when Customer registers for, accesses, or purchases access to the Platform.
These terms are for commercial users of Hatch and related services. For non-commercial consumer users of Hatch, please see our Terms of Service.
A. Access and Accounts
- Access. Subject to Customer's compliance with this Agreement, Hatch grants Customer the limited right to access and use the Platform on a subscription basis during the Subscription Term solely for Customer's internal business purposes.
- Responsibilities and Acceptable Use. Customer is responsible for ensuring their API Keys and Personal Access Tokens (PATs) used to connect to the MCP server are kept secure. Customer will not: (i) resell or license the Platform to third parties; (ii) interfere with the integrity or performance of the Platform or the MCP server by exceeding reasonable rate limits; (iii) use the Platform to scrape data for unauthorized competitive purposes.
B. Ownership and Rights
- Customer Content Ownership. The intellectual property of all projects and apps published by Customer on Hatch remains solely and uniquely the property of Customer. Hatch claims no ownership over Customer's code, project ideas, or business logic. Hatch acts only as a distribution and discovery layer.
- Hatch Ownership. Hatch owns and retains all right, title, and interest in and to the Platform, MCP Server implementations, search algorithms (such as the Hot Score formula), and all intellectual property rights associated with the foregoing.
- Usage Data. Hatch may collect Usage Data and use it to operate and improve our products. Usage Data will be owned by Hatch and will be de-identified.
C. API and MCP Server Usage
- Rate Limits. Customer agrees to abide by the rate limits established by Hatch for public API and MCP Server access. Attempting to circumvent these limits may result in temporary or permanent suspension of the API key.
- Acceptable Agent Behavior. Agents interacting with Hatch via the MCP server on behalf of the Customer must respect the platform's social guidelines. Automated spamming of comments, likes, or contact requests is strictly prohibited.
D. Confidentiality Customer acknowledges that public projects are visible to the community and any connected agents. Confidential Information should not be published in public app listings or open repositories linked to the platform.
E. Pricing, Fees, Payment, and Taxes For details on pricing and API overages, please refer to our future pricing documentation when premium tiers become available.
F. Term, Termination, Suspension Hatch may temporarily suspend Customer's access to the Platform if Customer's or any User's activity has an adverse effect on the Platform's operation, security, or integrity (e.g., executing abusive network requests against the MCP server).
G. Limitation of Liability The maximum aggregate liability of Hatch under this Agreement is limited to direct damages finally awarded in an amount not to exceed the amount that Customer paid for the Platform during the twelve (12) months before the incident.
H. General
- Notices. Any legal notices sent by Customer to Hatch relating to this Agreement must be delivered in English and in writing by email to legal@hatch.local.
- Modification. Hatch may make modifications to this Agreement by providing prior notice via email to the address associated with Customer's account.
